Terms of Service

  • You must be 18 or older to use Waypoint.
  • Waypoint helps you find people and activities. We are not a party to your interactions, and we do not run background checks or verify anyone’s identity.
  • You meet other people at your own risk. Meet in public, tell someone your plans, and trust your instincts.
  • There is zero tolerance for abusive users or objectionable content. You can report and block, and we can remove content and accounts.
  • Subscriptions auto-renew and are billed by Apple or Google. You manage and cancel them in your app store.
  • Our liability to you is limited, as set out below.

1. Who we are and these Terms

Waypoint is provided by [YOUR REGISTERED COMPANY NAME] Ltd, a company registered in England and Wales (company number [COMPANY NUMBER]), registered office [REGISTERED OFFICE ADDRESS, United Kingdom] (“Waypoint”, “we”, “us”, “our”).

These Terms of Service, together with our Privacy Policy and the community guidelines set out in Section 6 (collectively, the “Terms”), are a legal agreement between you and Waypoint and also serve as the End User Licence Agreement (“EULA”) for the Waypoint mobile application. They govern your use of the Waypoint app, website at usewaypoint.app, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What Waypoint is (and is not)

Waypoint is a platform that helps people discover one another and discover and organise local activities, plans, and meetups. We provide the technology that helps you connect.

Waypoint is not: a dating or matchmaking service; an event-planning or event-management company; an employer, agent, or organiser of the activities users post; or a party to any agreement, meeting, or relationship between users. We do not host, supervise, attend, or control user activities or meetings, and we do not verify the accuracy of anything users post.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms, that you are not barred from using the Service under any applicable law, and that you have not previously been removed from the Service. The Service is not available to anyone whose account has been terminated by us.

4. Your account

You can create an account using your email and a password, or via Sign in with Apple or Google. You agree to provide accurate information, keep it up to date, keep your credentials secure, and accept responsibility for all activity under your account. Do not use anyone else’s account, create an account for anyone under 18, or create an account with false information. Tell us immediately if you suspect unauthorised use of your account at support@usewaypoint.app.

5. Safety, no background checks, and assumption of risk

Please read this carefully.

Waypoint connects you with people you do not know. We do not conduct criminal background checks, identity verification, or any other screening of users, and we do not confirm that users are who they claim to be. Any “verified” or profile-completion indicator in the app reflects only that a user completed certain in-app steps — it is not a verification of identity, character, or safety.

You are solely responsible for your interactions with other users, online and in person. You use the Service, communicate with other users, and choose to meet other people at your own risk. We strongly recommend that you:

  • always meet in public places, especially the first time;
  • tell a friend or family member where you are going and when you expect to return;
  • arrange your own transport to and from activities;
  • do not share financial information or send money to other users;
  • trust your instincts and leave if something feels wrong; and
  • report and block anyone who makes you uncomfortable.

Nothing in this section excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be excluded or limited by law. Subject to that: you acknowledge that meetings and activities arranged through the Service take place between users, that we do not arrange, supervise, attend, or control them, and that you take part at your own risk. To the fullest extent permitted by law, we are not responsible or liable for the acts or omissions of other users or any third party, whether online or in person, or for any loss, injury, or damage arising out of your interactions, activities, or meetings with them.

6. Community guidelines and zero tolerance for objectionable content

We want Waypoint to be safe and respectful. There is zero tolerance for objectionable content or abusive behaviour. You agree that you will not, and will not help anyone else:

  • harass, bully, threaten, stalk, defame, or intimidate anyone;
  • post or send content that is unlawful, hateful, discriminatory, sexually explicit, violent, harmful, or otherwise objectionable;
  • impersonate anyone, misrepresent your identity or affiliation, or pretend to be a Waypoint representative;
  • solicit money, promote commercial products/services, or send spam without our permission;
  • organise, promote, or engage in any illegal or dangerous activity;
  • post content that infringes anyone’s intellectual property, privacy, or other rights;
  • collect or misuse other users’ information, or contact users who have blocked you;
  • attempt to access accounts or data you are not authorised to access, or interfere with, disrupt, scrape, or reverse-engineer the Service; or
  • use the Service in any way that violates these Terms or any applicable law.

7. Reporting, blocking, and moderation

You can report objectionable content or abusive users, and you can block other users, from within the app. We review reports we receive and aim to act on them promptly, prioritising serious safety reports — which may include removing content, and warning, suspending, or removing the accounts of users who violate these Terms. We do not, however, guarantee a specific response time.

If we remove your content or suspend or terminate your account and you believe we have made a mistake, you can ask us to review that decision by emailing support@usewaypoint.app, and a member of our team will look at it again.

We may, but are not obligated to, monitor or review content. We are not responsible for, and do not endorse, content posted by users. We may remove or disable access to any content, or suspend or terminate any account, at our discretion, with or without notice, including for any violation of these Terms or any conduct we believe is harmful to other users, to us, or to third parties.

8. Your content

You retain ownership of the content you create and post (your profile, photos, plans, messages, and other materials — “User Content”). By posting User Content, you grant Waypoint a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to host, store, reproduce, adapt, publish, translate, distribute, and display that User Content for the purposes of operating, providing, improving, and promoting the Service. This licence ends when you delete your User Content or your account, except (a) to the extent it has been shared with others who have not deleted it, (b) for content retained in backups for a limited period, and (c) where we must retain it for legal or safety reasons.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right. You are solely responsible for your User Content and the consequences of posting it.

9. Our intellectual property; copyright

The Service and all of its content (other than User Content), including our software, design, logos, and trademarks, are owned by Waypoint or its licensors and are protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial use in accordance with these Terms.

If you believe content on the Service infringes your copyright, contact us at legal@usewaypoint.app with details of the work, the allegedly infringing content, your contact information, and a statement of good-faith belief. We will respond to valid notices and may remove infringing content and terminate repeat infringers.

10. Subscriptions and payments

Parts of the Service are free, and we also offer paid subscriptions such as Waypoint Premium and Waypoint Founder, which unlock additional features. The price, billing period, and features of each subscription are shown to you at the point of purchase.

  • Billing. Subscriptions are sold as in-app purchases and are billed through your Apple App Store or Google Play account (managed via our payments partner, RevenueCat). We never receive or store your card or payment-instrument details.
  • Auto-renewal. Subscriptions automatically renew for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your app-store account is charged for renewal within 24 hours before the end of the current period.
  • Managing and cancelling. You manage and cancel subscriptions in your Apple App Store or Google Play account settings — not by deleting the app. Deleting the app does not cancel a subscription.
  • Refunds. Payments are processed by Apple or Google, and refunds are handled under their policies; we generally cannot issue refunds for app-store purchases directly. Nothing here affects any statutory cancellation or refund rights you may have as a consumer (see below).
  • Consumer cancellation right (UK/EU). Digital content and services normally begin immediately on purchase. Where you are a consumer in the UK or EEA, by purchasing and starting to use a subscription you ask us to begin supply immediately and acknowledge that you may lose the 14-day right to cancel once supply has begun, to the extent permitted by law.
  • Changes. We may change subscription features or pricing on a going-forward basis; price changes will not affect a billing period you have already paid for and, where required, we will give you notice and the chance to cancel.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA WILL NOT BE LOST, OR THAT ANY USER, ACTIVITY, OR CONTENT IS ACCURATE, SAFE, OR APPROPRIATE. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, ONLINE OR OFFLINE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. Nothing in these Terms excludes the statutory rights of consumers that cannot lawfully be excluded.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY, OR ANY MEETING OR ACTIVITY ARRANGED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) GBP 100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, the limitations above apply only to the extent permitted by law and do not affect your statutory rights — including, in the UK, your rights under the Consumer Rights Act 2015 that digital content and services be of satisfactory quality, fit for purpose, and as described.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Waypoint and its officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content or your violation of these Terms or of any law or third-party right, except to the extent the claim arises from our own negligence or breach. If you use the Service as a consumer, this indemnity applies only to the extent permitted by law and does not require you to cover liabilities that cannot lawfully be passed to a consumer.

14. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if we are required to by law, or to protect the Service or other users. You may stop using the Service and delete your account at any time in the app — see our Account Deletion page. Sections that by their nature should survive termination (including Sections 5, 8–13, and 15–17) will survive.

15. App stores (Apple and Google)

You obtained the app from the Apple App Store or Google Play and your use is also subject to their terms. The following applies where you use the iOS app, and Apple Inc. (“Apple”) is a third-party beneficiary of these Terms entitled to enforce them:

  • These Terms are between you and Waypoint only, not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide any maintenance or support for the app; we are solely responsible for support, as set out in these Terms.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app, and any other claims are our responsibility.
  • We, not Apple, are responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, and consumer-protection claims.
  • We, not Apple, are responsible for investigating and resolving any third-party claim that the app or your use of it infringes intellectual-property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government restricted-party list.
  • You must comply with applicable third-party agreements (for example, your wireless data plan) when using the app.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. If you are a consumer, you will benefit from any mandatory protections of the law of the country where you live, and nothing in these Terms affects your rights to bring proceedings, or to rely on those mandatory protections, in your home country.

Users outside the United States. You and Waypoint agree that the courts of England and Wales have non-exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to your consumer rights above.

Users in the United States — arbitration and class-action waiver. If you are a resident of the United States, then to the fullest extent permitted by law, you and Waypoint agree that any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and Waypoint waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing legal@usewaypoint.app within 30 days of first accepting these Terms. If the class, collective, or representative-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court and the rest of this arbitration agreement will remain in effect, except where such a waiver is prohibited by applicable law.

17. Changes and general terms

Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you in the app or by email before they take effect. Your continued use of the Service after the changes take effect means you accept the updated Terms.

Entire agreement; severability; waiver; assignment. These Terms are the entire agreement between you and Waypoint about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control.
