1. Agreement to Terms

Welcome to Waypoint! These Terms of Service (“Terms”) govern your use of the Waypoint website, mobile applications, and services (collectively, the “Service”). By accessing or using Waypoint, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Waypoint is a platform that connects people for local activities, events, and meetups. We provide the technology to facilitate these connections, but we are not responsible for the actual interactions, activities, or relationships that develop between users.

What Waypoint is:

  • A platform to discover and join local activities
  • A way to meet new people with shared interests
  • A tool to organize and host your own events

What Waypoint is NOT:

  • A dating app or romantic matchmaking service
  • An event planning company
  • Responsible for the quality or safety of user-organized activities

3. Eligibility

You must be at least 18 years old to use Waypoint. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under any applicable laws
  • You have not been previously suspended or removed from the Service

4. Account Registration

To access certain features of Waypoint, you must create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Immediately notify us of any unauthorized use of your account

You may not use another person's account, create multiple accounts, or create an account using false or misleading information.

5. User Conduct & Community Guidelines

Waypoint is built on respect and trust. You agree to treat all users with respect and to follow these community guidelines:

DO:

  • Be authentic and honest in your interactions
  • Respect others' boundaries and privacy
  • Show up to activities you've committed to
  • Report inappropriate behavior or content
  • Meet in public places for safety
  • Communicate clearly and respectfully

DON'T:

  • Harass, bully, or intimidate other users
  • Post discriminatory, hateful, or offensive content
  • Share explicit, inappropriate, or illegal content
  • Impersonate others or misrepresent yourself
  • Use the Service for commercial solicitation without permission
  • Spam other users or post repetitive content
  • Organize or promote dangerous or illegal activities
  • Violate others' intellectual property rights
  • Attempt to access other users' accounts
  • Use automated systems or bots without permission

6. Safety Guidelines

Your safety is important to us. While we implement measures to promote safety, you are ultimately responsible for your interactions with other users. We strongly recommend:

  • Always meet in public places for initial meetups
  • Tell someone where you're going and when you'll be back
  • Trust your instincts - if something feels wrong, leave
  • Verify attendees through the app before meeting
  • Don't share personal financial information
  • Report suspicious or inappropriate behavior immediately
  • Have your own transportation to and from activities

7. Content Ownership & License

Your Content: You retain ownership of content you post on Waypoint. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, publish, transmit, and display your content in connection with operating and improving the Service.

Our Content: The Service and its original content (excluding user content) are and will remain the exclusive property of Waypoint and its licensors.

8. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Waypoint, you agree to our collection and use of information as described in the Privacy Policy.

9. Disclaimers

Important Legal Stuff:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WAYPOINT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WAYPOINT IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

11. Indemnification

You agree to indemnify and hold harmless Waypoint, its officers, directors, employees, and agents from any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may delete your account at any time through the app settings. Upon account deletion, we will remove your profile and content from public view, though some information may be retained as described in our Privacy Policy.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Waypoint shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if eligible.

15. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Waypoint regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
